Broadspectrum announces Board changes

Broadspectrum today announced a number of changes to the Broadspectrum Board as part of its takeover by Ferrovial Services Australia Pty Ltd, a wholly owned subsidiary of Ferrovial S.A.

Non-Executive Directors Douglas Snedden, Roy McKelvie, Katherine Hirschfeld and Geoffrey Kleemann have resigned from the Board effective 13 May 2016.

Mr Snedden has served on the Board since 21 December 2009 and was Chairman of the HRC and a member of the Risk Audit and Compliance Committee (RACC) and the Health, Safety, Environment and Community Committee (HSECC).
 
Mr McKelvie has served on the Board since 31 August 2012 and was a member of the RACC and the Human Resources Committee (HRC).

Ms Hirschfeld has served on the Board since 28 October 2013 and was a member of the HRC and the HSECC.
 
Mr Kleemann has served on the Board since 19 September 2014 and was Chairman of the RACC and a member of the HRC.
 
Broadspectrum Chairman Diane Smith-Gander paid tribute to the outgoing Directors and thanked them for their contribution and dedication to the Company over a number of years.
 
“I’d like to thank Doug, Roy, Kathy and Geoff for their outstanding contribution to the Board over many years,” Ms Smith-Gander said.
 
“All four have been sources of wise counsel and I have enjoyed working with them to navigate the Company through a number of challenges over the last few years,” she said.
The outgoing Directors have been replaced on the Board by Ferrovial representatives Santiago Olivares Blázquez, Andrés Camacho Donézar, Fidel López Soria and Alfredo García López.
 
Santiago Olivares Blázquez has been Chief Executive Officer of Ferrovial Services since May 2007 and has a degree in Degree in Industrial Engineering from the ICAI School of Engineering and a Master of Business Administration Degree from Massachusetts Institute of Technology.
 
Andrés Camacho Donézar joined Ferrovial in 2007. He has a Degree in Business Administration and Management from the Commercial University of Deusto and a Master of Science in Economic Development from the London School of Economics.
 
Fidel López Soria joined Ferrovial in 2007. Fidel has developed his training at the Polytechnic University of Madrid, the National School of Mines of Paris and the MIT Sloan School of Management. As part of his duties Mr Soria has been appointed to the Broadspectrum RACC.
 
Alfredo García López joined Ferrovial in 2001. He holds a Law Degree (Universidad Complutense – Madrid), and has completed the Executive Business Program at the IESE Business School of Madrid.
 
Broadspectrum has not entered into separate employment agreements with the new Directors.
 
Dean Pritchard will remain as a Non-Executive Director and has been appointed as Chairman of the RACC. Diane Smith-Gander will remain as a Non-Executive Director and Chairman of the Board. Graeme Hunt will also remain on the Board in his capacity as Managing Director and Chief Executive Officer of Broadspectrum.  Continue reading →

Broadspectrum’s subsidiary, Easternwell, has signed a three-year contract extension for one rig with Santos Limited. The rig will continue to provide workover and completion services in the Surat Basin, Queensland.

“We have enjoyed a strong working relationship with Santos for more than 20 years and have successfully worked together to improve the safety and efficiency of our operations in the Surat and Cooper Basins,” commented Tim Phelan, Easternwell’s Executive General Manager.

“We welcome the opportunity to extend our agreement with Santos and look forward to providing industry leading services.”

The contract includes two one-year extension options.

Easternwell specialises in providing drilling, well servicing and remote mobile camp management services. The company employs more than 900 people and manages more than 60 rigs and 35 remote mobile camps.

Easternwell’s parent company officially changed its name from Transfield Services to Broadspectrum on 4 November 2015. Broadspectrum represents the company’s delivery of a broad range of services that are essential to clients across multiple sectors. Transfield Services awarded key five-year agreement with NBN Co.

Transfield Services has signed a five-year, Multi-technology Integrated Master Agreement (MIMA) with NBN Co. Based on performance, this could be valued at up to $140 million in the first year.

This new agreement aims to significantly increase the efficiency and effectiveness of the rollout by aligning the interests of the delivery partners with NBN Co’s stated desire for a rapid, high quality deployment of the broadband network. A key part of the strategy is to maximize use of existing infrastructure, continuously improve productivity and focus on quality assurance.

The agreement gives delivery partners the potential to secure additional volumes based on performance and represents a major step forward by clarifying and simplifying the commercial structure.

The MIMA is in addition to two previously announced contracts with NBN Co in Victoria which included:

  • A two-year, $300 million extension to continue the Local / Distribution Network design, as well as construction of the Fibre Optic Network, and
  • A two-year $66 million contract for the construction of exterior house pre-connections.

Transfield Services subsidiary Easternwell has been awarded a new Drilling Services Agreement with BHP Billiton Iron Ore.  The agreement is for the supply of dual rotary drilling services as part of the dewatering drilling programs, which includes the drilling and installation of production and monitoring bores at BHP Billiton Iron Ore’s operations based in the Pilbara region of northern Western Australia.  The twelve month contract commenced this month.

Further to its announcement of 2 May 2014, Transfield Services Limited (“Transfield Services”) has today priced an offering of US$325 million of senior unsecured notes in a private transaction not registered under the United States Securities Act of 1933. The notes will be issued by Transfield Services and will be guaranteed by substantially all of its subsidiaries. The notes will have a coupon of 8.375% and will mature on 15th May, 2020. The settlement of the offering of the notes is expected to occur on 13 May, 2014, and is subject to customary closing conditions.  Continue reading →
